Terms of Service

1. Agreement
These Terms of Service ("Terms") are a binding agreement between you and AMS IT Solutions, Inc. ("AMS," "we," "our," or "us") governing your access to and use of AMS Backoffice — the mobile app, web dashboard, and any related services we provide (together, the "Service").
By signing in to AMS Backoffice, you confirm that you have read, understood, and agree to be bound by these Terms. If you don't agree, don't use the Service.
2. Who can use the Service
AMS Backoffice is a business product. You may use it only if:
- You are at least 18 years old, and
- You are an owner, manager, or authorized employee of a business that has a current contract with AMS for the Service, or
- You have been invited by an authorized administrator of such a business and the invitation has not been revoked.
AMS Backoffice does not allow self-service account creation. If you received a sign-in invitation, follow the link to set your password and complete sign-in.
3. Your account
- Keep your password confidential. You are responsible for activity that occurs under your account.
- Notify us promptly at support@amsbackoffice.com if you suspect unauthorized access.
- Don't share an account between people. Each user should have their own login so audit logs are accurate.
- We may suspend or close accounts that violate these Terms or that we reasonably believe are being misused.
4. Acceptable use
You agree that you will not:
- Use the Service for any illegal purpose or in violation of any applicable law.
- Attempt to gain unauthorized access to other stores' data or to AMS infrastructure.
- Reverse engineer, decompile, or attempt to extract source code, except to the extent that applicable law expressly permits.
- Scrape, copy, or resell the Service or its content without our written permission.
- Upload malware, run automated stress tests, or take any action that could degrade the Service for other customers.
- Use the Service to store, process, or transmit data you don't have the legal right to handle.
5. Your data
Data you or your store enter or generate while using the Service — sales, inventory, gas readings, employee records, documents, and the like — remains your data. By using the Service, you grant AMS a limited license to host, store, transmit, display, and process that data only as needed to provide the Service to you.
You are responsible for the accuracy and legality of the data you submit. If your store contract ends, you may request export of your data and deletion of your account; see our Privacy Policy for details.
6. Subscription and billing
The Service is provided under the commercial terms agreed between AMS and the business that contracts with us for your store ("Customer"). Subscription fees, payment schedules, and renewal terms are governed by that contract. If you are an end user accessing the Service through your employer or a store you operate, questions about billing should be directed to that business or to AMS.
7. Third-party services
AMS Backoffice integrates with third-party services that you may enable, including your point-of-sale system, payroll providers, and notification services. We are not responsible for the availability, content, or practices of those third-party services. Your use of them is governed by their own terms.
8. Intellectual property
The Service, including its software, design, logos, and the "AMS Backoffice" name, is owned by AMS IT Solutions, Inc. and is protected by copyright, trademark, and other laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. No other rights are granted.
We welcome feedback. If you submit suggestions or improvement ideas, you grant us a perpetual, royalty-free license to use them without obligation to you.
9. Service availability
We work hard to keep AMS Backoffice available, but we do not guarantee uninterrupted service. Planned maintenance, third-party outages (e.g., your POS, our hosting provider), or events outside our reasonable control may cause downtime. We will make reasonable efforts to minimize disruption.
10. Disclaimers
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
AMS does not warrant that the Service will be uninterrupted, error-free, fully secure, or that data shown will always be correct. You are responsible for independently verifying figures used for tax, accounting, or regulatory filings.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AMS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING FROM YOUR USE OF (OR INABILITY TO USE) THE SERVICE.
AMS'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY THE CUSTOMER TO AMS FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.
12. Indemnification
You agree to defend, indemnify, and hold harmless AMS and its affiliates from claims, damages, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms, your misuse of the Service, or your violation of any third party's rights.
13. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms, if your store contract ends, or if continuing to provide the Service would expose AMS to legal or operational risk. Sections that by their nature should survive termination will survive (e.g., data ownership, disclaimers, limitation of liability).
14. Governing law
These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-laws principles. The exclusive venue for any dispute will be the state and federal courts located in the State of Texas, and you consent to personal jurisdiction in those courts.
15. Changes to these Terms
We may update these Terms from time to time. When we do, we'll revise the "Last updated" date at the top. Material changes will be communicated in the app or by email before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
